Terms of Service

These Terms of Service constitute a legally binding agreement between you and AdSimple GmbH regarding your use of the ChatReact website and services. By accessing our services, you agree to these terms. If you do not agree, you may not use our services.

ChatReact provides an AI-powered chatbot platform that helps businesses automate customer support, generate FAQs, and improve customer interaction.

You must provide accurate information when creating an account. You are responsible for maintaining the security of your account and all activities under it.

You must be at least 18 years old or the age of majority in your jurisdiction to use our services. By creating an account, you confirm that you meet this requirement.

Some services require a paid subscription. All fees are billed in advance according to the chosen billing cycle (monthly or annually). Prices are displayed inclusive of applicable taxes. Payment is processed securely through our payment provider Stripe.

The Free plan is subject to usage limits (e.g., number of chats per month, number of chatbots). These limits are displayed in your dashboard. If you exceed the limits, certain features may be temporarily restricted until the next billing period. We reserve the right to modify Free plan limits at any time with reasonable notice.

Due to the digital nature of our services, paid subscriptions are generally non-refundable. If you cancel a subscription, you retain access to paid features until the end of the current billing period. In cases of technical issues that prevent service usage, please contact our support team to discuss a resolution.

You may cancel your subscription at any time through your account settings. Upon cancellation, your account will remain active with paid features until the end of the current billing period. After that, your account will revert to the Free plan. Your uploaded content will be preserved but features exclusive to paid plans will no longer be available. You may delete your account entirely at any time, which will permanently remove all your data.

You agree to use our services only for lawful purposes. You may not:

• Upload illegal, harmful, or offensive content
• Introduce viruses or malicious code
• Attempt unauthorized access to our systems
• Use the service in ways that could harm or overload it

You may not upload content that:

• Infringes intellectual property rights
• Violates privacy or publicity rights
• Is false, misleading, or fraudulent
• Promotes illegal activities

Regarding content you upload or create through our platform:

• You retain ownership of all content you upload to ChatReact (e.g., training data, FAQs, documents)
• You grant us a limited license to process your content solely for the purpose of providing our services
• Upon account deletion, your data will be permanently removed in accordance with our Privacy Policy

The ChatReact website, software, branding, and all related content are owned by AdSimple GmbH and protected by intellectual property laws. You may not copy, modify, or distribute our content without prior written permission.

ChatReact integrates with third-party services (including AI model providers, payment processors, and analytics tools) to deliver its functionality. We are not responsible for the availability, accuracy, or practices of these third-party services. Your use of such services is subject to their respective terms and privacy policies.

We strive to maintain high availability of our services but do not guarantee uninterrupted or error-free operation. Planned maintenance windows may occur and will be communicated in advance when possible. We are not liable for any downtime or service interruptions caused by factors beyond our reasonable control.

To the maximum extent permitted by applicable law, AdSimple GmbH shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our services. Our total liability for any claim related to the service shall not exceed the amount you paid us in the 12 months preceding the claim.

You agree to indemnify and hold harmless AdSimple GmbH, its directors, employees, and agents from any claims, damages, or expenses arising from your violation of these terms, your use of our services, or content you provide through the platform.

We may terminate or suspend your access immediately, without prior notice, if you breach these terms or engage in activities that harm our services or other users. Upon termination, your right to use the service ceases immediately. Provisions that by their nature should survive termination will remain in effect.

We shall not be liable for any failure or delay in performing our obligations where such failure or delay results from circumstances beyond our reasonable control, including but not limited to natural disasters, war, terrorism, pandemics, power outages, internet disruptions, or government actions.

If any provision of these terms is found to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid provision shall be replaced by a valid provision that most closely achieves the intended purpose.

These terms are governed by the laws of the Republic of Austria, excluding its conflict of law provisions. Any disputes arising from these terms shall be subject to the exclusive jurisdiction of the competent courts in Korneuburg, Austria. Mandatory consumer protection laws of your country of residence remain unaffected.

We reserve the right to update these terms at any time. Material changes will be communicated via email or through a notice on our website at least 30 days before they take effect. Continued use of our services after the effective date constitutes acceptance of the updated terms.
